The signed statements are reviewed by the Senior Vice President of Finance. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship. Form 990, Part VI, Section B, line 15 Good News utilizes industry comparable data from multiple sources to recommend salary and bonus figures for management. This information is then compiled, and recommendations for all officers, as well as a general percentage increase for all other employees, are submitted to the compensation committee. The compensation committee reviews, discusses, has the ability to change recommendations, and then approves the submission, which in turn is brought to the full board by way of recommendation of the compensation committee. The full board then takes the recommendation, has further discussion if necessary, and then approves the recommendation from the compensation committee. Compensation committee members (and any family members on the board) who are also compensated officers are excused from the part of the meeting that would cover any discussion over compensation or bonuses. The decisions regarding compensation are then documented in the minutes.
