organizations during the course of a year. These contributions vary from matching employee gifts to larger grants to organizations. As circumstances require, the Foundation monitors its grants to ensure that such grants are used for proper purposes and are not otherwise diverted from the intended use. Such monitoring may take the form of periodic reports from the organization, visiting and meeting with the charity, or other approaches provide information to the Foundation. The Foundation also provides relief to employees who have been impacted by qualified disasters. KPMG employees generously donate to the Foundations disaster relief fund to help their fellow employees in need. The Foundation has appointed a Disaster Relief Task Force ("DRTF") that provides the Foundation with guidance on policies and procedures. The DRTF reviews and provides recommendations on applications for relief made by employees. Disbursements by the Foundation from the Disaster Relief Fund go to an employees necessities in the event of a qualified disaster. Significant due diligence is performed by the DRTF prior to funding an employees request. As such, disaster relief funds are disbursed for an employees immediate needs based on scope of the disaster and documentation presented; therefore, monitoring of these grants is not necessary. FORM 990, PART VI, SECTION B, LINE 11B During April 2019, the Foundations Audit Committee and management reviewed a draft of the Form 990 and provided comments to the preparer. Based on feedback provided from the committee members, the draft Form 990 was updated. Upon finalization and filing of the return, management provided a final copy of the return to each member of the Board of Directors. FORM 990, PART VI, SECTION B, LINE 12C The Foundation has established a conflict of interest policy which has been reviewed and approved by its Board of Trustees. The Foundation is committed to the belief that sound business practices start with an absolute commitment to act ethically in carrying out the Foundation business, and to comply with the laws and regulations that impact its business, thus the Foundations employees must avoid participating in activities that create or appear to create a conflict of interest. The Foundation has specifically identified the following areas in its policy to be potential conflicts of interest: financial interest, outside employment, acceptance of gifts, gratuities, business courtesies, travel, lodging and entertainment, misuse of resources or assets, personal gain using undue influence, direct dealings with vendors, use of confidential information, and an individual's support of political causes. The Foundations policy requires certain individuals to disclose participation in activities or circumstances that may present a conflict of interest on an annual basis or if at any time such individual becomes aware of circumstances that may present a conflict of interest. These disclosures are reviewed by management and the Board as necessary. FORM 990, PART VI, SECTION C, LINE 17 New Jersey and as required for charitable solicitation filing requirements. The Foundation provides the Form 990 in all U.S. states that require filing for charitable solicitation filing purposes. Please see Attachment 2 for a list of the states in which the Foundation filed for the 2017 tax year. FORM 990, PART VI, SECTION C, LINE 19 The Foundations Form 990 is based on the independently audited financial statements of the organization, is open for public inspection, and provides significant information about the organizations governance and conflict of interest policy compliance. FORM 990, PART VII, SECTION A, LINE 1A All directors and officers of the Foundation serve in in their capacity as volunteers and not as employees of KPMG LLP.
