This agreement essentially provides that the executive would devote his full energy, skill and best efforts to the affairs of the Center on a substantially full time basis until normal retirement, as defined in the agreement. Upon reaching normal retirement age, the executive will receive an annual retirement benefit of $40,000 for 15 years. The executive retired in June 2017. As of June 30, 2018, the executive has received his eleventh annual retirement benefit payment of $40,000. The Executive Vice President/Treasurer participates in a 457(f) deferred compensation plan. Part I, Line 7 The Compensation Committee approved a bonus for the officers of the Center. The bonus was based on set individual goals and objectives as determined by the Committee. The Committee compared the actual performance of the officers to the individual goals and objectives. Form 990, Part VI, Section B, line 11b The form was reviewed by the audit committee for completeness and accuracy. Form 990, Part VI, Section B, line 15 Fiscal year 2018 compensation of the President/Chief Executive Officer and the Executive VP/Chief Financial Officer/Chief Operating Officer was established and approved by the Board of Directors based on an annual study and recommendation by the Long-Term Planning and Compensation Committee of the Board. The committee was comprised of independent directors of South Shore Mental Health Center, Inc. who had no reported conflicts of interest. In arriving at its recommendation, the committee considered comparability and other data including the following: 1) Performance evaluations 2) Salary surveys gathered from Form 990's of sixteen Massachusetts nonprofit agencies providing similar services. The survey data was extracted from the latest 990 filings to update compensation data tracked by the committee for ten years; 3) Contract amendments for the President/CEO for FY17 and FY18; 4) Contract amendments for the Executive VP/CFO for FY17 and FY18; 5) Report of Long-Term Planning and Compensation Committee prepared for the preceding year.
