However, income from activities not directly related to the Organizations tax-exempt purpose is subject to taxation as unrelated business income. The Organization did not engage in any unrelated business activities during the year ended December 31, 2017.The Organization has adopted the authoritative guidance relating to accounting for uncertainty in income taxes included in ASC Topic Income Taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entitys financial statements and prescribe a threshold of more likely than not for recognition and de-recognition of tax positions taken or expected to be taken in a tax return. The Organization performed an evaluation of uncertain tax positions for the year ended December 31, 2017, and determined that there were no material matters that would require recognition in the financial statements or that may have an effect on its tax-exempt status. As of December 31, 2017 that statute of limitations for the 2014, 2015, and 2016 tax years remain open with the Internal Revenue Service. It is the Organizations policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expense. Form 990, Part VI, Line 3: Description of Delegated Duties to Management Company Verto SOlutions LLC performs management and other professional services on behalf of the Organization. Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder Six U.S. mortgage insurance companies Arch MI, Essent, Genworth, MGIC, National MI, and Radian are members of USMI. The organization is open to all active U.S. mortgage insurance companies. Form 990, Part VI, Line 11b: Form 990 Review Process The organization's independent public accountants prepare a draft of Form 990 and review it with the Director of Finance. Then the Director of Finance, President & Executive Director, and the Chairman of the Board review Form 990 and give the final approval prior to filing with the IRS. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts USMI HAS A CONFLICT OF INTEREST POLICY THAT APPLIES TO ALL MEMBERS, OFFICERS, DIRECTORS, AND STAFF. ALL ARE REQUIRED TO DISCLOSE ANY CONFLICTS OR POTENTIAL CONFLICTS OF INTEREST TO THE USMI CHAIR. Decisions with respect to any conflict or potential conflict shall be made by the Executive Committee and Board of directors by majority vote.
