Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by Waverly in their federal and state exempt organization tax returns are more likely than not to be sustained upon examination. Waverly's returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed. Form 990, Part VI, Section A, line 7a The Board of Directors chooses new board members. Form 990, Part VI, Section B, line 11b The Board's Treasurer is responsible for reviewing the draft information returns with the Head of School and the preparer prior to filing. A copy of the Form 990 is provided to all Board Members before filing. The Finance Committee reviews the return in detail at its next regularly scheduled meeting, either before or after filing. If any changes need to be made to the forms it is done at the meeting. New Trustees complete an extensive Board Orientation, including a Waverly Board Guidebook that further delineates how the Board discloses and manages possible or actual conflicts of interest. Form 990, Part VI, Section B, line 15a The Head of School's (Chief Executive) compensation was determined by a review of the Board's Compensation Committee. The members of the committee were free of conflicts of interest and met the IRC requirements. The Head of School was not a member of the Committee and was not present for any of the committee discussions. The review was done using comparabliity data for similar organizations. This data was comprised of compensation information obtained via review of publicly available documents for Heads of School for non-profit schools in the San Gabriel Vallely and adjacent locations in the San Fernando Valley. The recommendations of the Compensation Committee were reviewed and approved by the Board of Directors in an Executive Session which exclulded the Head of School. The Head of School was not present for deliberations or for the vote. Contemporaneous documentation of the deliberation and decision was maintained as part of the Board's minutes of its executive session. 15(b) is marked NO as there are no key employees that meet the IRS definition.
