During the years ended December 31, 2012-2017, the Organization was in the process of transitioning to the Organization the operations of a seminary and training center that had previously been operated by Ministerios Evangelicos de Las Americas ("MEDA"), a Honduran non-governmental nonprofit organization. During 2017, MEDA made a grant to the Organization of certain real property in Honduras at which the seminary and traning center operations are conducted. The Organization has further determined that, as a seminary which draws its students from all of Honduras as well as from surrounding Spanish-speaking countries, the publishing of its racial nondiscrimination policy in a newspaper of general circulation would not be practical, nor would it effectively publicize its racial nondiscrimination policy to the communities from which it draws its students. Instead, the Organization will disclose its policy on the informational flyer about the seminary that is widely distributed to churches, bookstores, conventions of pastors, and other outlets from which the Organization draws the majority of its students. The Organization believes that this method of publicity will serve as a more effective way of publicizing the policy to prospective students. Form 990, Part VI, Section B, line 11b The Organization's top management official and top financial official each review the Form 990 prior to its filing with the IRS. A copy of the final Form 990 is also provided to the voting members of the Organization's governing body prior to its filing with the IRS. Form 990, Part VI, Section B, line 12c The Organization's conflict of interest policy is distributed to each member of the Organization's governing body, its officers and its key employees on an annual basis. Each such individual provides an annual disclosure statement indicating that they have received, read, understood and agreed to comply with the policy, certifying that: (1) they have no relationships or interests that present a conflict of interest, (2) they have one or more conflicts of interest that have been fully disclosed as required by the policy and have been properly administered in conformity with the policy, or (3) they have previously undisclosed conflicts of interest and disclosing the details of such conflicts. Any disclosure statements with previously undisclosed conflicts of interest are forwarded to appropriate Organization officials to take appropriate actions as required by the policy. Form 990, Part VI, Section C, line 19 The Organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. NOT OPEN TO PUBLIC INSPECTIONFor its 2012 - 2016 tax years, the Organization was eligible to and had historically timely filed the Form 990-N electronic postcard to fulfill its annual information reporting requirement with the IRS. The Organization also timely filed the Form 990-N for its 2017 tax year. However, upon engaging professional tax counsel to assist the Organization with various tax matters, the Organization became aware of the requirement to file a full Form 990 due to the receipt of a noncash contribution during its 2017 tax year, which had not been recorded by the Organization in its financial records. Upon learning of the additional filing requirement, the Organization engaged professional tax counsel to assist in preparing the full Form 990, and has filed the return as soon as all information necessary to file a complete and accurate return was gathered. The Organization has implemented procedures to ensure that future Forms 990 are filed in a timely manner. Based on the above, the failure to file the 2017 Form 990 in a timely manner was due to reasonable cause and not willful neglect, and therefore, the Organization respectfully requests abatement of any late filing penalties.
