Voting membership includes individuals and corporate members. The organization may offer voting memberships to representatives of corporate members. One designated representative from each corporation member shall receive on vote, up to three representatives of each circle members shall receive one vote. Member election for additional members Part VI line 7a One director shall be a representative of ATAs industry council, elected by members of that body. All other directors shall be elected by the membership for one two- year term and may be elected for one successive term. Governing body decisions Part VI line 7b The membership shall try to act by consensus. However, the vote of a majority of voting members in good standing, present, and entitled to vote at a meeting at which a quorum is present, shall be sufficient to constitute the act of the membership unless the vote of a greater number is required by law or the bylaws. Form 990 governing body review Part VI line 11 The finance committee, in conjunction with the treasurer of the board and management, review the form 990 prior filing. Upon approval, the treasurer presents the form 990 to the full Board of Directors for final approval prior to file. Conflict of interest policy compliance Part VI line 12c All members of ATAs Board of Directors are asked to declare and personal or business interest in the related matters. This information will be made available to other members of the board. ATA will identify, review, and resolve all conflicts of interest that ate disclosed prior to the board meeting.
