Part IV, Section C, Line 1: Control Or Management Of Supported Orgs. Albany Medical Center (AMC") has historically supported several organizations with which it has majority or complete board overlap: Albany Medical Center Hospital, Albany Medical College, Albany Medical Center Foundation. AMC has also historically supported Center for Donation and Transplant ("CDT") and AMC Kidskeller (Kidskeller). While AMC and CDT do not have majority board overlap, AMC and CDT share all of the same officers and therefore control or management of AMC is vested in the same persons that control or manage CDT, as required by Treas. Reg. 1.509(a)-4(h)(1). In addition, all of Kidskellers board members are employees of AMC, with several Kidskeller directors serving important managerial or operational roles in AMC. During FYE 2016 and FYE 2017, AMC became affiliated with two hospital systems, The Saratoga Hospital (SH) and its affiliates and The Columbia Memorial Hospital (CMH) and its affiliates. As the parent organization of the affiliated system, AMC now supports these additional entities, with which it has less than a majority board overlap. The specific entities that make up these systems are detailed in Schedule A, Part VI and reported as related organizations in Schedule R, Part II. IRS GCM 39508 notes where the majority of a Type II supporting organizations directors are not also the majority of the directors of each of the organizations supported organization(s), the number of persons must be sufficient so that when considered together with all the facts and circumstances there is a clear showing that each . . . supported organization served or benefited can insure that the supporting organization will be responsive to its needs or demands and will constitute an integral part of, or maintain a significant involvement in, its operations. Three of SHs directors, and one of CMHs directors, are also directors of AMC. Moreover, during FYE 2017, SH and CMH were being integrated into the AMC system pursuant to their affiliation agreements in a manner that ensured that AMC would be responsive to their needs and demands and constitute an integral part of, or maintain significant involvement in, their operations. In particular, the affiliation agreements provide for, and significant progress has been made with respect to: the creation of an integration task force and work groups with SH and CMH representation; SH and CMH utilization of AMC system centralized administrative services, such as budgeting, procurement, legal, IT and finance; and plans for various senior management leaders to cross organizations and align system-wide principles, goals and objectives. Overall, the affiliation agreements and the actual facts and circumstances establish that SH and CMH have significant representation to ensure that AMC is responsive to their needs or demands and that AMC constitutes an integral part of and maintains a significant involvement in their operations. With respect to SH and CMHs affiliates each of them is an organization described in section 501(c)(3) that is not a private foundation and that is operated, supervised, or controlled directly by or in connection with one of either SH and CMH.
