Form 990, Part VI, Section B, Line 11b The 990 is presented to the board of directors along with the annual financial statement audit to review and approve prior to filing. Form 990, Part VI, Section B, Line 12c Board members are required to complete a conflict of interest disclosure statement upon their election to the board and update the statement annually. Actions are monitored through internal control procedures involving executive management to identify any conflicts. In addtion, action items for board meetings are monitored by board officers and executive management to identify any possible conflicts of interest. Form 990, Part VI, Section B, Line 15a The normal process is that a committee of board members, including officers, conducts an annual evaluation of the executive director in December of each year in an executive session and presents the review to the executive director in open session. Compensation is determined by the board using comparable salary data commensurate with the directors responsibilities and performance review. However in December 2019, the executive director was out for medical reasons and the review was delayed then the COVID-19 pandemic hit and business was disrupted therefore no review took place and compensation remained the same.
