Line 4b) The Center maintains a deferred compensation agreement with its former President/CEO. This agreement essentially provides that the executive would devote his full energy, skill and best efforts to the affairs of the Center on a substantially full time basis until normal retirement, as defined in the agreement. Upon reaching normal retirement age, the executive will receive an annual retirement benefit of $40,000 for 15 years. The executive retired in June 2017. As of June 30, 2019, the executive has received his twelfth annual retirement benefit payment of $40,000. Part I, Line 7 The Compensation Committee approved a bonus for the officers of the Center. The bonus was based on set individual goals and objectives as determined by the Committee. The Committee compared the actual performance of the officers to the individual goals and objectives. Bonuses paid to other senior leaders were agreed by the Executive Vice President based on criteria and evaluation of individual performance. Form 990, Part III, line 2 South Shore Mental Health d/b/a Aspire Health Alliance was selected as a Community Partner for MassHealth Accountable Care Organization program and is working to integrate and improve member health outcomes of MassHealth members with complex long term medical and/or behavioral health needs. Form 990, Part VI, Section B, line 15 Fiscal year 2019 compensation of the President/Chief Executive Officer was established and approved by the Board of Directors based on a recommendation by the Long-Term Planning and Compensation Committee of the Board. The committee was comprised of independent directors of South Shore Mental Health Center, Inc. In arriving at its recommendation, the committee considered comparability and other data including: 1) Performance evaluations, 2) Contract amendments for the President/CEO for FY18 and FY19, 3) Contract amendments for the Executive VP/CFO for FY18 and FY19, and 4) Report of Long-Term Planning and Compensation Committee prepared for the preceding year.
