Management has analyzed the tax positions taken by the Ministry for the year ended December 31, 2019 and believes that there are no such positions as of December 31, 2019. Accordingly, no liabiity has been accrued. The Executive Committee should rely upon appropriate data as to comparability prior to making its recommendation. The Board shall review and approve executive compensation, after review of comparability data and other evidence regarding the reasonability of compensation, and shall contemporaneously substantiate its deliberation and the basis of its decision in the minutes.
