Pt VI, Line 1a All seated members are entitled to vote on governance and major issues. The membership has given authority for daily operations to the executive committee. Pt VI, Line 6 There are two types of memberships, Seated Members and At-Large Members. Pt VI, Line 7a Seated Members (Advising and Sustaining) - Each member organization in this class is entitled to appoint one representative to hold a seat on the Board of Directors. These shall be known as Seated Directors (with voting rights). At-Large Members (Affiliate and Academic) - Each member organization in this class is entitled to appoint one representative as a liaison to the Board of Directors who may attend board meetings, but will not have voting rights. These appointees shall be known as Representatives At-Large. Pt VI, Line 11b Form 990 will be reviewed by the Executive Director and the Treasurer. A copy of the Form 990 will be distributed to the Board Chair and Board Vice Chair. The remaining Executive Committee, Committee Chairs and Board Members may review the Form 990 upon request. Pt VI, Line 12c In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest or other interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The remaining board or committee members shall decide if a conflict of interest exists. Edward Thomas is the President & Executive Director of UtilityExchange.org Inc and he is the Executive Director for Peak Load Management Alliance Inc. Mr. Thomas received compensation in the amount of $72,080 during 2019 from UtilityExchange.org Inc for his management services provided to PLMA.
