In addition, BerryDunn will present the prepared Form 990 to the Board of Directors when the financial audit is presented if ready, and if unable to present at that time, the 990 will be shared with the Finance Committee of the board for review. All Board members, staff and volunteers are educated on this and given a copy and form to complete at hire/commencement of volunteer work. Each staff member, volunteer and board member is also given this policy annually to review and must complete a Conflict of Interest form indicating any potential conflicts of interest. Following full disclosure of a possible conflict of interest by a board member or upper management, the Board of Directors shall determine whether a conflict of interest exists and if so, the Board shall vote to authorize or reject the transaction or take any action deemed necessary to address the conflict and protect the Organization's best interest. Both votes shall be by a majority vote without counting the vote of any interested director, even if the disinterested directors are less than a quorum provided that at least one consenting director is disinterested.
