For communities and populations that did not have the resources or staff to organize and run testing events, 9Health organized and coordinated aspects of the event(s). In other areas, where NGOs could organize the event(s), but needed help with recruitment, marketing, or other activities, 9Health provided supplemental support. (Continued on Schedule O)Screening at Quest Patient Service Centers continued throughout 2020 in lieu of health fairs. While a source of revenue, it was still a great reduction from the revenue of health fairs when they were in full operation. We worked throughout 2020 to build on our Vision:365 to make 9Health an essential Colorado asset with a strong tradition of leading the way for preventive health and empowering people to take control of their health journey. While our digital transformation started in 2019, we accelerated significantly when the pandemic hit in 2020 and were quick to launch new products, expanding our focus beyond health fairs. 9Health is poised to build on our past accomplishments to serve audiences to create an even more equitable community approach, focusing on rural, the underserved, vulnerable and older adults. Concurrently, 9Health worked developing future strategies to help deploy large-scale COVID relief efforts in partnership with the Colorado Department of Public Health and Environment (CDPHE), COVID Check Colorado (CCC), several FQHCs, safety net clinics, and other nonprofits, to run or significantly support testing events in the Denver Metro area. COVID-19 education was in large part, though not exclusively, focused on underserved communities and many of the testing sites covered specific underserved, underrepresented populations, and communities of color around the Front Range. Form 990, Part III, line 3 Due to the pandemic, 9Health had to cancel its more than 100 Spring 2020 statewide health fairs and greatly decreased the number of fall 2020 health fairs to eight, all of which had limited screening and were by appointment only. This significantly reduced 9Health's recurring revenue stream, induced the need to let go of half the staff, and called on the organization's agility to quickly adapt to meet community need. In so doing, the organization mobilized efforts to begin a shift towards COVID-19 testing, vaccine education; particularly in hesitant and underserved populations and communities of color and embarked on strategic planning to become a role player in vaccine dissemination in marginalized communities. Throughout 2020, a large part of 9Health's work moved to multi-media efforts to reach underserved populations through mass and micro targeted multi-lingual and culturally sensitive communications to educate about COVID-19 and to encourage COVID-19 testing. All of the written disclosure forms are reviewed by the President or where applicable, chairman of the board and after receiving information about a possible conflict of interest, shall take such action as is necessary to assure the transaction is completed in the best interest of Nine Health Services, Inc. without the substantive involvement of the person who has the possible conflict of interest. A written record of any report of possible conflict and of any adjustments made to avoid possible conflicts of interest shall be kept by the President, or where applicable, chairman of the board. Form 990, Part VI, Section B, line 15 CEO: A full copy of the annual salary survey from the Employer's Council is transmitted to the Chair of the Board of Trustees. The Executive Committee of the Board reviews the performance of the Chief Executive Officer, compares the current salary and proposed salary with the appropriate ranges in the Employer's Council survey, considers the overall economic conditions in the marketplace, and recommends a salary increase based upon merit to the Board of Trustees and discusses this with the CEO. The salary decision is also discussed with the full Board of Trustees. Other key employees: The CEO reviewed each of the key employees' salary levels at the time of their annual performance reviews with the annual salary survey from the Employer's Council, and in some cases also with data from the Colorado Hospital Association. The impact of any merit pay increases were compared with salary ranges in these surveys to confirm the appropriateness of the new level of salary. In 2020, Nine Health implemented COVID related salary reductions for all management personnel from 10% to 25% of base pay, and no merit increases were given to anyone during the year. TEGNA is reimbursed quarterly by Nine Health Services, Inc. for substantially all payroll costs. As such, Nine Health Services, Inc. does not submit Forms W-2 or W-3.
