Form 990, Part VI, Section B, line 12c All new board members sign that they have read and agree to our code of ethics. Part of the code of ethics is the conflict of interest policy. Each member must sign that they do not have a conflict of interest. If they do have a conflict of interest, it must be disclosed when they join the board, if a conflict of interest arises after they become a board member, they must disclose such conflict to the board president. If a conflict does exist, the board member with the conflict, must abstain from voting on any action that would be related to the conflict. Form 990, Part VI, Section B, line 15a The board of directors reviews and approves the compensation of the Executive Director. A salary range is provided by Boys & Girls Clubs of America which is created by an outside agency taking into account the region of the country, the salaries of other non-profits and for profits in the area and the size of the organization budget. The Executive Director receives a review on an annual basis and compensation is determined at that time. The Executive Committee of the board reviews the Executive Director and makes a recommendation for compensation.
