Form 990, Part VI, Section A, line 4 The College made the following significant changes to its Articles of Incorporation, filed with the state of Florida on August 26, 2021, in connect with a corporate name change and a request to be recognized as an integrated auxiliary of Ligonier Ministries, Inc.: 1. The College changed its name to Reformation Bible College, Inc. Pursuant to the Form 990 instructions, the College has attached a copy of the Amended and Restated Articles of Incorporation and proof of filing with the state of Florida. 2. The College's purpose has been updated to the following: The corporation is organized and operated exclusively for religious and religious educational purposes (including charitable, literary and scientific purposes that are related to and also in furtherance of those religious purposes) in order to support of the religious mission and exempt purposes of Ligonier Ministries, Inc., including without limitation operating a Christian educational institution providing undergraduate and graduate degree programs and other post-secondary educational programs grounded in the Reformed tradition and making distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Code. 3. The College added a paragraph documenting its intention to be classified as an integrated auxiliary as described in Treasury Regulation Section 1.6033-2(h)(1). 4. The College added language regarding the number of directors to clarify that the College's directors shall consist of not fewer than three members and of not more than a maximum number determined by the bylaws. 5. The College added language clarifying that he board of directors shall have the power to amend or restate the Articles of Incorporation by a majority vote of the directors then in office, provided that the amendment or restatement is approved in writing by its Sole Member (Ligonier Ministries, Inc.) and provided that such changes are not inconsistent with the College's statement of faith. 6. The College added the following Contingent Provision in connection with the distribution of assets upon dissolution: If any such assets are not so disposed of, and to the extent that the directors become deadlocked regarding this or any other issue, any such dispute shall be settled by the board of directors of the Sole Member (Ligonier Ministries, Inc.). Form 990, Part VI, Section A, line 7b The College's sole member must approve the following decisions before they become effective: (1) amendment or repeal of the Articles of Incorporation or Bylaws; (2) merger of the College; (3) sale, pledge, or transfer of all or substantially all of the College's assets; or (4) dissolution of the College. In addition, the College's sole member is reserved the right to remove any director from the Board. A copy of the final Form 990 is also provided to the voting members of the College's governing body prior to its filing with the IRS. Form 990, Part VI, Section B, line 12c The College's conflict of interest policy is distributed to each member of the College's governing body, its officers, and its key employees on an annual basis. Each such individual provides an annual disclosure statement indicating that they have received, read, understood and agreed to comply with the policy, and certifying that: (1) they have no relationships or interests that present a conflict of interest, (2) they have one or more conflicts of interest that have been fully disclosed as required by the policy and have been properly administered in conformity with the policy, or (3) they have previously undisclosed conflicts of interest and disclosing the details of such conflicts. Any disclosure statements with previously undisclosed conflicts of interest are forwarded to appropriate College officials to take appropriate actions as required by the policy. Form 990, Part VI, Section B, line 15 The College follows the compensation setting policy of its affiliated organization, Ligonier Ministries, Inc., which requires that an independent committee of the Board of Directors determine the compensation package of all officers and directors. The College's Board of Directors has delegated this compensation-setting authority to the Personnel Committee of the Ligonier Board of Directors, all independent with respect to the College's executive employees. The Personnel Committee considers, in setting such compensation, a compensation study by special legal counsel with expertise in the area of reasonable compensation for nonprofit executives, utilizing data regarding compensation paid to persons serving in similar capacities in comparable organizations as well as national compensation data such as that published by The Church Network, the Christian Management Association, and Guidestar. These compensation studies are performed periodically, with the most recent study performed during the 2018 tax year. The Personnel Committee approves and sets compensations, including those of the College's executive personnel, during their annual meeting. Form 990, Part VI, Section C, line 19 The College makes its financial statements and its Form 990 available to the public through the Organization's website. Financial statements, Form 990, and governing documents are available by mail upon request. Form 990, Part VI: An audit of the College's financial statements is conducted annually by an independent certified public accounting firm, which has resulted in the issuance of an unqualified opinion. In addition, the College is a fully accredited member of the Evangelical Council for Financial Accountability (ECFA) and, as such, subscribes to ECFA's Seven Standards of Responsible Stewardship addressing: (1) operation in conformity with the College's evangelical Christian doctrinal statement, (2) oversight by a Board of Directors, the majority of which are independent (as that term is defined by ECFA standards), (3) submission of complete, accurate, audited financial statements, (4) proper management and financial controls over the use of the College's resources, (5) public availability of the College's current financial statements upon written request, (6) avoidance of conflicts of interest, and (7) responsible, truthful fund-raising practices.
