The Foundation is required to file a Return of Foundation Exempt from Income Tax (Form 990) with the IRS. In addition, the Foundation is subject to income tax on net income that is derived from business activities that is unrelated to its exempt purposes. Management believes that the Foundation has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Foundation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred. The Forms 990, and other income tax filings required by state, local, or non-U.S. tax authorities are no longer subject to tax examination for years before 2017. The Executive Committee can act on behalf of the board in situations where the board can not meet, however they can not make changes to the Bylaws. Form 990, Part VI, Section B, line 11b Management reviews the completed Form 990 prior to filing with the IRS. A copy of the draft is provided to the Board of Directors as well before the Form 990 is filed. Form 990, Part VI, Section B, line 12c Board members and employees are covered by the conflict of interest policy. All actual and potential conflict of interest shall be disclosed through the annual disclosure form and/or when the conflict arrises. Interested Employees may need to break the conflicting interest or potentially cease employment. Interested Board members are recused from participating in debates and voting on the conflicting issues. The disinterested members of the Executive Committee shall make a determination as to whether a conflict exists and what subsequent action is appropriate (if any). The Executive Committee informs the Board of such determination and action. The Board retains the right to modify or reverse the determination and action and retains ultimate enforcement authority.
