The Board wrote new bylaws approved in February 2020, and a board policy manual approved in July 2020, that provided for increased discretion programmatically and financially to the President and CEO as compared to the previous set of governing documents. In addition, the following changes were made in the re-writing of the bylaws and board policy manual: - There shall be no less than seven nor more than twenty-six Directors, each representing one of the thirteen states in the Foundation's constituency. A maximum of six at-Large Directors may be appointed from any state or constituency. Terms are three years with approximately one-third of the board being elected every year. There are no term limits. - Officers of the Board of Directors include the Chairperson, Vice Chairperson, Past Chairperson, Secretary and Treasurer. Officers of the Corporation are the Chief Executive Officer and the General Counsel/Corporate Secretary. - The bylaws create and define a Finance and Audit Committee consisting of the Chairperson, Treasurer, CEO and at least two other Directors. - The bylaws state that the Directors shall annually fix the salary of the CEO, and the CEO shall annually fix the salary of other Corporate Officers which shall then be reported to the Board of Directors. Form 990, Part VI, Section A, line 7a The Board of Directors selects its own members, executive members, and officers. Form 990, Part VI, Section A, line 7b The Board of Directors approves all case selection, budgets, and officers. Form 990, Part VI, Section B, line 11b The Form 990 is prepared by the public accounting firm that performs the audit of MSLF. The information presented on the Form 990 is based on the audited books and records of the Foundation. The Foundation's Controller compares the audited financial statements and the final year-end records of the Foundation with the information presented on the Form 990. The staff emails the governing body a pdf copy of the Form 990. The Form 990 is finalized and filed as prepared. Form 990, Part VI, Section B, line 12c Officers, directors and key employees are required to sign the MSLF conflict of interest policy statement. There is regular monitoring of this policy to assure the Foundation that the policy is enforced and all officers, directors and key employees are in compliance. New contracts and cases are presented to the Board of Directors and if any are, in any manner, involved as an interested party, they are excused from any discussions and are not allowed to express an opinion or vote on the matters involved with that contract or case. Form 990, Part VI, Section B, line 15 The Executive Committee annually reviews and approves compensation packages for its key employees. In conducting its review and approval process, the committee uses salary and benefit compensation studies conducted by independent sources, posted job offers for similar positions at for-profit and non-profit organizations and governmental agencies, informal but documented surveys about similar positions at similar organizations, compensation information obtained from other Form 990s, and cost-of-living adjustments comparable to the geographic area of the Foundation's office. Form 990, Part VI, Section C, line 19 MSLF provides audited financial statements on its website as well as to states in which the organization is registered for fundraising purposes. Form 990, Part IX, line 11g Other: Program service expenses 302,312. Management and general expenses 33,669. Fundraising expenses 13,171. Total expenses 349,152. Form 990, Part XII, Line 2c The organization's finance and audit committee supervises and reviews the work of MSLF's Controller in managing the yearly audit process. At lease one committee member meets with the auditor before the audit is finalized and distributed to the committee and the Board of Directors. For year end 12/31/2020, MSLF selected a new auditor which was voted on and approved by the full board.
