All action taken by the Executive Committee is reported back to the Board in a report twice yearly. The general qualifications for regular member emeritus shall be established by the Board and the eligibility of any individual for this category shall be determined by the Board on a case- by- case basis. Regular members emeritus will have the same privileges as regular members except he/ she will not receive the journal gratis. (C)Student or Postdoctoral Members. Candidates for student or postdoctoral membership must be engaged in the study of anatomical or related sciences in an educational or research institution or working under the guidance of an established researcher or educator. The Board shall establish the process by which these criteria are evaluated to determine student or postdoctoral membership eligibility. (D)Honorary Members. The Association may grant honorary membership to recognize exceptional accomplishments in the field of anatomical sciences. The general qualifications for honorary members shall be established by the Board and the eligibility of any individual for this category shall be determined by the board on a case- by- case basis. (E)Associate Members. Candidates for the associate membership do not fit into any category set forth above. These individuals may act as part of a team in a lab or classroom setting, have previously engaged in the teaching or investigation of anatomical or related sciences, are employed in a biomedical or anatomically related field, or are working in a related government or public policy field and wish to foster the mission and goals of the Association. The eligibility of any individual for associate membership shall be determined by the Board on a case- by- case basis. Member election for additional members Part VI line 7a The Board of Directors shall be elected by the following classes of membership of AAA: Regular Members, Regular Members Emeritus, Student or Postdoctoral Fellow Members, and Honorary Members. In addition, a director may be removed with cause by a two- thirds vote of the membership or two- thirds vote of the Board of Directors. Associate members may not vote. Governing body decisions Part VI line 7b Same membership categories as noted above. AS authorized under section 802 of the New York not- for- profit corporation law, the members may by action by the members authorize any amendment or change in the certificate (bylaws). Form 990 governing body review Part VI line 11 The Executive Director shares the draft 990 with the Board electronically with instructions on why they must review it along with direction on what to look for. Each board member is required to affirmatively reply that she/ he has reviewed the document. Any questions are addressed as appropriate by the Executive Director. Upon the Boards review of the draft 990, the Executive Director communicates with the auditor that the 990 is ready to be finalized. Once finalized it is filed as instructed and also posted to Guidestar for public viewing. Conflict of interest policy compliance Part VI line 12c All board members along with committee chairs, journal editors, and staff are required to complete an annual conflict of interest declaration. The replies are consolidated and shared with the President, President- Elect, and Past President to monitor any potential conflicts during Board meetings and or other discussions through the year. Any individual with a conflict recuses from discussion and as necessary, voting. CEO executive director top management comp Part VI line 15a The Executive Directors salary is based on a 3- year employment contract as well as salary survey data provided by the FASEB human resources office. FASEB provides AAA with human resources and payroll services for a fee. The full Board approves any salary increases and the action is documented in the minutes. Salary increases are based on merit and mutually agreed upon performance goals established for the year. The process last took place in 2021.
