The following is a list of the significant changes: Article VI - Duties of the Board of Directors Section 5. Policies. (a) The Board has the authority to establish and adopt policies including adopting and evaluating the billing and collection policies for the conduct of the Corporation and updating such policies when needed. Section 8. Finances. The Board will also monitor the financial status of the Corporation, including reviewing the results of the annual audit and ensuring appropriate follow up actions are taken. Section 9. Grievance Process. The Board must ensure that a process is developed for hearing and resolving patient grievances. Article V - Officers Section 4. Chair. The Chair will preside at all meetings of the Board, will coordinate general conduct of business and affairs of the Corporation, will appoint the chairpersons and members of all committees from the membership of the Board, and may sign on behalf of the Corporation any formal contract or other instrument in writing, provided that he or she will not, without prior consent of the Board, enter into a contract. Article VII - Chief Executive Officer Section 3. Duties. The CEO will be responsible to the Board and will have executive responsibility for carrying out the work of the Corporation, hiring and discharging employees in accordance with relevant policies and procedures, negotiating and executing contracts, leases, and agreements for the Corporation as an agent of the Board not to exceed twenty thousand dollars ($20,000), and following all duties as outlined in his or her job description and the personnel policies. The CEO will be a non-voting, ex-officio member of the Board.
