Conflict of interest policy compliance Part VI line 12c The Board conducts annual reviews of compensation of officers and directors and any other transaction or arrangement that might involve a conflict of interest. When a conflict of interest is disclosed the Board member involved recuses himself/herself, and the other Board members vote on the matter considering the organizations best interest. If the Board has reasonable cause to believe a director or officer has failed to disclose an actual or potential conflict of interest it shall inform the members and may take such action as it deems appropriate, including removal of the officer or director from office. The board reviews the Executive Directors salary annually, and approves salary changes in the final board meeting of each fiscal year. Salary decisions are documented in the board minutes. The Executive Directors salary was last reviewed in June 2021. YPTs annual tax returns are publicly available on Guidestar, and YPT shares annual financial reports with key stakeholders through an annual report mailed directly to funders and donors at the end of each calendar year.
