advances to Albert Keshavarzi (Keshavarzi), Bahram Manoocheri (Manoocheri), Unicare Healthcare, Inc., an Arizona for-profit corporation (Yuma Healthcare), Unicare Hospice, Inc., an Arizona for-profit corporation (Yuma Hospice), and Sun City Enterprise, an Arizona general partnership (Sun City).Such advances were made pursuant to a cursory written obligation characterizing the advances as loans from the Organization to the respective recipients.At the time of these advances, Yuma Healthcare, Yuma Hospice, and Sun City were all wholly owned and operated by Keshavarzi and Manoocheri, each of whom are also founders of the Organization and served as officers and directors of the Organization.While the advances were acknowledged as loans, management of the organization subsequently determined that such loans were inadequately documented, carried a rate of interest lower than would have been applicable in an arms-length transaction, were not approved by disinterested directors, and were not appropriately disclosed in either the Organizations financial statements or its Forms 990 filed with the Internal Revenue Service.Pursuant to these determinations, the Organization contacted legal counsel to reform the transactions in such a way as they would be rendered fair and reasonable to the Organization and structured in a way consistent with arms-length transactions of the same nature.Consequently, the following actions were taken: (1) each advance was memorialized by a Promissory Note bearing commercially reasonable terms, including an interest rate set at the Applicable Federal Rate plus eight and a half percent (8.5%); (2) each advance was memorialized in a loan agreement containing commercially reasonable terms obligating each recipient to repayment of the advances, with interest, in accordance with the Promissory Notes;(3) each advance became subject to a Security Agreement; and (4) each advance to Yuma Healthcare, Yuma Hospice, and Sun City became personally guaranteed.Taking into account interest as described above and payments reflected on the books of the Organization, the amounts due from each of the recipients as of December 31, 2022 were as follows: Keshavarzi $348,887.85; Manoocheri $256,984.61; Yuma Hospice $1,011,739.99; and Yuma Healthcare $1,356,323.91. The advances made to Sun City have been fully paid to the Organization, including interest at market rates.Each of the loan documents related to the Keshavarzi and Manoocheri transactions, with the exception of the Promissory Notes, required the signatures of Keshavarzi and Manoocheri, respectively, as well as their spouses. Because each of Keshavarzi and Manoocheri are married individuals and residents of the community property jurisdiction of California, the spousal signatures were sought so that the transaction would be recast on terms and conditions that would be expected in a similar transaction with an unrelated party.Keshavarzi and his spouse executed each of the appropriate documents and Keshvarzi subsequently paid to the Organization the full amount due under his Promissory Note, with interest to the date of payment. Manoocheris spouse did not sign any documents related to these transactions and Manoocheri has not made any payments to the Organization subsequent to the execution of his Promissory Note.Neither Yuma Healthcare and Yuma Hospice, however, have the available resources necessary to immediately satisfy their respective obligations to the Organization. Consequently, Keshavarzi has agreed to make a no-consideration transfer of all his ownership interests in Yuma Healthcare and Yuma Hospice to the Organization. Manoocheri has declined to do so.
