Form 990 Part V, Line 2a: CEO Forum does not file any W-2s as all employees are outsourced from a professional employment organization (PEO). The number reported on this line represents the number of employees the filing organizations leased from the PEO. CEO Forum reimburses the professional employment organization for the employees' compensation and the reimbursements are reported on 990 Part VII, Section A and 990 Part IX, Lines 5 10. Form 990, Part VI, Section B, line 11b Form 990 was prepared by an independent CPA firm. The return was reviewed in detail by the finance team and then sent to the Board for their review before being filed with the IRS. Form 990, Part VI, Section B, line 12c Board members and officers are required to disclose potential conflicts of interest on an annual basis which are reviewed by the CEO/President. The finance and management teams monitor all transactions. Any potential conflicts of interest identified are brought to the board's attention, and the member with a conflict excuses himself from the decision making process. The remaining board members then vote to decide whether the transaction is in the best interests of the organization. Form 990, Part VI, Section B, line 15 The compensation committee, consisting of independent members of the board of directors, is responsible for determining compensation and benefits for the CEO/President and other corporate officers. In making their decisions, comparability data is referenced including compensation and benefits provided to individuals holding similar positions at similar organizations in similar geographic regions. All compensation related deliberations and decisions are recorded in communication with the CFO. In the case of minister's compensation when box 5 of the W-2 is not applicable, box 1 compensation is used.
