Supervisors schedule one-on-one meetings with their staff to complete the evaluations. Supervisors provides the Chief Human Resource Officer (CHRO) with the completed annual evaluation (employee & supervisor) and annual competency for each employee they supervise. The HR generalist tracks all evaluations to confirm 100% receipt. The CHRO enters all competency forms by employee into an excel worksheet noting the number of exceeds expectations for each employee. Following the table by position (employee, manager or senior manager), the eligible percent is calculated. The worksheet is provided to payroll and the CFO for review. The "regular work wages" (work time wages only) are exported from ADP for the one year span (by payroll date) to capture wages for the one year period, multiplied by the determined PFP percent. The PFP bonus is paid in January. The total amount is accrued by department and posted to salary expense by department. The accrual is adjusted to actual. There is a monthly standard general ledger entry to capture "regular wages year-to-date" for active staff. The percentage used is 1.1%, which is historically the average percent for the PFP. Pay-for-Performance ended on 6/30/22. All active employees were paid 1.5% of "regular work wages" on 7/29/23 for the timeframe of 1/1/22-6/30/22. Starting in 2023, annual evaluations are completed in the quarter of the employee anniversary date. At this time, there is no pay incentive associated with the annual evaluation. Form 990, Part VI, Section A, line 4 During 2022 the Organization amended its bylaws to update the language within the Duties of Officers section. The updates are as follows: a) The Chair of the Board shall preside over all meetings of the Board and shall be an ex-officio member of all Board Committees, special or standing, except the Governance Committee. The Chair shall appoint the membership of all standing committees for a term of one year, subject to confirmation by the Board. The Chair shall designate a Chair for each Committee, except the Governance Committee, which shall elect its own Chair. All committee Chairs shall be Board members. The Chair may constitute special committees subject to review and confirmation by the Board at the next regular Board meeting. b) In the absence of the Chair, the Vice Chair shall preside over all meetings of the Board. In the event of a vacancy in the office of Chair, the Vice Chair shall assume all of the powers and duties of the Chair until a new Chair is elected at the next regular or special meeting of the Board. c) The President-CEO shall perform the duties of the chief executive officer of the Corporation, as may be set forth in a job description or employment agreement adopted by the Board. d) The Secretary shall perform, in general, all the duties incident to the office of clerk of a corporation as required by the laws of the United States and of the State of Vermont. The Secretary's duties may be delegated by the Secretary, with the consent of the Board, to one or more Assistant Secretaries appointed by the Board. e) The Treasurer shall give a report on the current financial status at Board meetings. The Treasurer shall serve as a full, voting member of the Finance Committee, ex officio. The Treasurer's duties may be delegated by the Treasurer, with the consent of the Board, to one or more Assistant Treasurers appointed by the Board. Form 990, Part VI, Section B, line 11b The CFO reviews the 990 and gives to the CEO for review and signature. The Form 990 is then e-mailed to the Board of Directors. Form 990, Part VI, Section B, line 12c Policy is reviewed annually with the board of directors. Each member is asked to sign an affidavit acknowledging they have read the policy, understand the policy, and are in compliance with the policy. Form 990, Part VI, Section B, line 15 HR Director meets with CEO and CFO and reviews comparable salary data for market survey completed for budget or other times as necessary during the year. HR Director and CEO confer re: CFO salary. HR Director presents any wage adjustments in their entirety or by employee categories to the Workforce Development Committee for the budget year. The Workforce Development Committee recommends the wage and benefits budget to the Finance Committee or Board. The Finance Committee recommends to the Board. The Board approves the CEO salary.
