During intervals between Board meetings, the Executive Committee has all of the powers of the Board in the management of the business and affairs of the Foundation. The Executive Committee fixes its own rules of procedure and meets at such time and place as provided by such rules, but in every case, the presence of a majority of its members is necessary to authorize action on behalf of the Foundation. Minutes of the Executive Committee meetings are distributed to all Directors prior to the next regular Board meeting. Executive Committee members must be Directors and are appointed by a Nominating Committee (the "Nominating Committee"), with the exception of the Chair of the Investment Committee, who is a permanent standing member of the Executive Committee. The Nominating Committee is composed of three Directors appointed by the Board Chair. The Board Chair and members of the Executive Committee may be members of the Nominating Committee.
