Amounts reported here are for the following services: human resources, legal, finance & accounting, information technology, knowledge management, development, communication, strategic planning, and national expansion. GDPS National resigned from serving as the corporate member of GDPS Tennessee beginning on April 1, 2024. The amount of support provided to GDPS TN represents eight months of activity up to the date of resignation. Part IV, Section A, Line 1: The governing documents provide that GDPS National will operate for the benefit public charter school organizations, as specified in its charter, and requires supported organizations to be either controlled by or be an integral part of GDPS National. These other supported organizations include GDPS STX, GDPS TN, and UPAS. As such, there is a historic and continuing relationship which has created a substantial identity between the organizations, and GDPS National is organized exclusively for the benefit of its supported organizations. Part IV, Section D, Line 2: GDPS National maintains a close and continuous working relationship with its supported organizations by providing centralized management, oversight, and other support services for the supported organizations. In order to accomplish its express purpose of managing the development and operation of its supported organizations (charter schools), there must be a close and continuous working relationship. Part IV, Section D, Line 3: GDPS National is responsive to the needs and demands of its supported organizations through its close and continuous working relationship. Officials with a conflict must submit a written disclosure to their supervisor. Then the supervisor reassigns the task in which there is a conflict and forwards the conflict notice to the CEO. For Board members, they are required to disclose the conflict at the meeting where consideration of the proposed transaction takes place. After the disclosure, the Board member must leave the meeting while the remaining Board members determine whether or not a conflict exists. This disclosure is included in the Board's meeting minutes.
