Directors continue to be appointed and removed by the Catholic Bishop of Chicago, the sole member ("Corporate Member") (Article III, Section 2(a)). The number of Directors shall be no less than twelve (12) and no more than seventeen (17) Directors, plus the President and Chief Executive Officer, who is a Director by virtue of the office (Article IV, Section 1). A quorum is defined as a majority of Directors then in office and the action of a majority of the Directors present at a meeting at which a quorum is present shall be an action of the Board (unless otherwise provided by law) (Article IV, Section 2). The power to amend the Articles of Incorporation and Bylaws is reserved to the Corporate Member. (Article III, Section 2(h)). The Executive Committee is responsible for an annual review of the President and Chief Executive Officer and providing any recommendations, including compensation recommendations to the Corporate Member (Article V, Section 5). Apart from the Executive Committee, other Board committees are established by the Board itself (Article V, Section 1). The Board has created an Audit, Compliance and Risk Management Committee which is composed of four (4) directors and three (3) non-director committee members, in accord with the By-laws ((Article V, Sections 1-2). Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder The organization's Corporate Member is the Catholic Bishop of Chicago.
