The Executive Committee may have a minimum of five members and a maximum of twelve members. Only Directors of the Company are voting members. The Artistic Director, Managing Director and other non-Director officers participate as non-voting members. More than three absences annually (without substitute with proxy attending) may result in the individual's removal from the Executive Committee. The Executive Committee functions as the governing body of Stages but must seek approval of the Board of Directors for the budget, Officer and Director elections, and Bylaw changes, which are solely the responsibility of the Board of Directors. All other decisions made by the Executive Committee are binding to Stages. The Executive Committee members are appointed for a two year term that is renewable one time. A non-Officer Executive Committee member may take an Officer position after serving up to two consecutive terms in a non-Officer role on the Executive Committee.
