The Foundation also requires reports showing the use of the funds. Form 990, Part XII, Line 2c The organization is consolidated into the Library District audit annually. Form 990, Part VI, Section B, Line 11b The Finance Committee reviews the 990 in draft form. Once it is approved by the Finance Committee, a copy is provided to each board member before it is filed. Form 990, Part VI, Section B, Line 12c The Foundations Conflict of Interest Policy covers all members of the Board of Directors.All members have the duty to disclose any actual or possible conflicts of interest to the Board of Directors. Annually, all members review, sign, and date copies of the Foundations Conflict of Interest Policy. Form 990, Part VI, Section C, Line 19 The Foundation makes its governing documents, Conflict of Interest Policy, and financial statements available upon request. In addition the Foundations governing documents are filed with the Oregon Secretary of State and are available for public inspection there. The form 990 and most recent financial statements are also on the Foundations website. Form 990, Part VI, Section A, Line 7b The Director of the Library District has hiring and firing power, as well as supervision of the Executive Director of the Library Foundation, Thus, the governing body of the Library Foundation, the Foundations Board of Directors, does not exercise those powers at its sole discretion, as would be usual for a governing body. It would be highly unusual, however, and a significant breach of the trust relationship between the Library District and the Library Foundation for the Director of the Library District to take action related to the Foundations Executive Director without consulting the Foundations Board of Directors.
