For the year ended December 31 2023 no provision for income taxes was made as the Association had no net significant unrelated business income. The Association follows the authoritative guidance relating to accounting for uncertainty in income taxes included in FASB ASC Topic 740 Income Taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entitys financial statements and prescribe a threshold of more likely than not for recognition and derecognition of tax positions taken or expected to be taken in a tax return. The Association performed an evaluation of uncertainty in income taxes for the year ended December 31 2023 and determined that there were no matters that would require recognition in the consolidated financial statements or that may have any effect on its tax-exempt status. As of December 31 2023 there were tax returns that remained open with the U.S. federal jurisdiction or the various states and local jurisdictions in which the Association files however there are currently no audits for any tax periods pending or in progress. It is the Associations policy to recognize interest and or penalties related to uncertainty in income taxes if any in interest or income tax expense. As of December 31 2023 the Association had no accruals for interest and or penalties. As the Association participates in lobbying activities those activities are subject to a 21% proxy tax under the IRC Section 6033e2 to Internal Revenue Services. For the year ended December 31 2023 the Association did not engage in lobbying activity and did not incur any proxy tax expense. Part VI, Line 6 All members shall have the right to vote as set forth in these Bylaws on the election of directors on the disposition of all or substantially all of the assets of the Corporation on any merger of the Corporation with another entity and the principal terms of any such merger and any amendment of those terms and on any election to dissolve the Corporation Part VI, Line 7a All members may participate in voting for the Board of Directors. Part VI, Line 7b All members can attend the annual general meeting and cast votes on matters brought forth in the meetings. Part VI, Line 11b Form 990 was prepared by the finance department and reviewed by the CPA firm. Part VI, Line 12c Board of Directors meetings are held four times a year and once a year evaluation of each board Director is reviewed and assessed. Every year each board of director sign a Code of conduct policy. The executive committee would be informed of any misconduct and would need to review and evaluate the situation. We had no reported wrongdoing from the board or employee levels at this time. Part VI, Line 15 The procedure for determining the compensation of a person who served in the year in which this process was last carried out. CEO Governance and Compensation Committee meets to discuss the CEOs progress any severance pay when an exit is discussed annual metrics and setting compensation for the following year. The committee then makes its recommendation to the full Board of Directors for approval. Compensation increases are based on a comprehensive comparison of similarly qualified individuals in functionally comparable positions in 2022. The CEO reviews the compensation of all managing directors on an annual basis and compares it to annual performance metrics. The CEO recommends any compensation adjustments to the Chair of the Compensation Committee for review and final approval.
