<ExplanationTxt>Part V, Section B, Line 5: Interviews were used to gather information and opinions from persons who represent the interests of the community served by the Hospital. Community stakeholders identified by the hospital were contacted and asked to participate in the needs assessment. Interviewees included individuals who are leaders and/or representatives of medically underserved, low-income, and minority populations, local health or other departments or agencies that have current data or other information relevant to the health needs of the community. Input was obtained from the Grundy County health department and the Kendall County Health Department. Fourteen interviews were completed from July through August 2022.</ExplanationTxt>

<ExplanationTxt>Part V, Section B, Line 11: Morris Hospital has created a three-year implementation strategy that focuses on three priority health areas identified in the study: access to health care (including mental health), chronic diseases (including overweight and obesity), and health behaviors and prevention. Since Morris Hospital cannot directly address all the health needs present in the community, we will concentrate on those health needs that we can most effectively address given our areas of focus and expertise. Taking existing hospital and community resources into consideration, Morris will not directly address the remaining health needs identified in the CHNA, including birth indicators, COVID-19, and substance abuse.</ExplanationTxt>

<ExplanationTxt>Part V, Section B, Line 13h: Morris Hospital also designates patients as presumptively eligible by utilizing an automated system called FastTag with our early out vendor, Meduit. They use a scoring system to rank patients based off eligibility to pay and if the account is scored as presumptive, we will adjust the account off without the patient having to submit a financial application.</ExplanationTxt>

Where possible, prior to the admission or rendering of service, a Financial Service Representative will conduct an interview with the patient, the guarantor, and/or his other legal representative. If unavailable to meet prior to or due to medical reasons, the patient may schedule an appointment in person or over the phone with the Financial Service Representative to discuss their options.</ExplanationTxt>

<ExplanationTxt>Community Coalition and Collaborative EffortsThroughout the year, Morris Hospital furthers its mission of improving the health of area residents by collaborating with other organizations in the community. In 2023, Morris Hospital & Healthcare Centers was part of the historic groundbreaking for the new Morris Hospital YMCA. Morris Hospital will occupy 8,800 square feet of space in the new 60,000 square foot, full service YMCA that is scheduled to open in December 2025. It's the first time the community will have a full service YMCA, due in part to Morris Hospital's commitment to partnering with the Y and providing a significant donation that has resulted in the new facility being named the Morris Hospital YMCA. Morris Hospital will be moving its physical, occupational and speech therapy and cardiac and pulmonary rehabilitation to the new YMCA, with a goal of further improving the health of the community by encouraging patients to continue exercising at the Y after completion of their therapy or rehabilitation program. While awaiting opening of the new Morris Hospital YMCA, Morris Hospital continues to cover half of the facility operating expenses for the current YMCA that operates out of the former Morris City Hall building. Morris Hospital holds its free senior exercise classes at the current YMCA and encourages graduates of the Morris Hospital Phase II cardiac rehabilitation program to continue their exercise program at the YMCA so they can maintain optimal heart health. Through the YMCA's Prescription for Fitness program, Morris Hospital physicians are able to refer patients with chronic disease or certain health risks to the YMCA by prescribing a free, 30-day membership. In order to promote a healthy workforce, Morris Hospital employees can receive a free individual membership to the Morris Community YMCA, with the hospital reimbursing the Y for the cost. Together, the hospital and YMCA offer a Pedaling for Parkinson's class that is taught by Morris Hospital Wellness and Physical Therapy staff. Morris Hospital collaborates with a number of community organizations through its Patient Transportation Service. With a fleet of 8 buses and team of volunteer drivers and drive assistants, rides are provided to and from medical related appointments free of charge throughout the Morris Hospital service area. As part of the service, Morris Hospital works in cooperation with a number of area agencies to provide rides for their clients or residents in need of transportation services, including Illinois Valley Industries, Elliott Manor, Saratoga Towers, the Grundy County Health Department, Morris Senior Center, Morris Library, Catholic Charities, Will/Grundy Medical Clinic, Grundy County Housing Authority, Narvick House, Veterans Assistance, We Care of Grundy County, Morris Community Dialysis, DaVita Dialysis, Grundy Transit, Gardner American Legion, and area home health agencies. Many of these riders have indicated that they have no other way to get to their appointment.Through a coordinated campaign that took place in November 2023, Morris Hospital employees donated over $22,000 to the United Way of Grundy County through gifts of cash and PTO hours. The United Way of Grundy County has nearly 30 community partner agencies, so the collective gift from Morris Hospital employees goes very far to support health, education, youth, crisis and intervention, and basic human needs that are vital to supporting the community and health improvement advocacy. Morris Hospital also supports the United Way's annual dinner with a donation and attendance.Morris Hospital also provides community support through financial donations to a number of community organizations whose missions are aligned with the hospital's. Examples of donations issued to community organizations in 2023 include: Joliet Junior College Foundation for career development, Greater Joliet Area YMCA, Starved Rock Regional Center for children with developmental disabilities, Lightways Hospice, Will Grundy Medical Clinic, Grundy County Emergency Management, Grundy County Health Department, Grundy Area PADS, CASA of River Valley for child advocacy services, Aden Lamps Foundation for safe sleep packets for babies, We Care of Grundy County, Grundy Lending Closet, National Fire Safety Council for fire safety education materials in Coal City, and Morris, Minooka and Marseilles Lions Clubs.Morris Hospital collaborates with We Care of Grundy County each year by providing volunteers to ring the Salvation Army bell at holiday time, with the money collected going to We Care. The hospital also supports the United Way of Eastern LaSalle County by providing volunteers to rehab a home at their annual Labor of Love day.Morris Hospital supports the Will Grundy Medical Clinic by providing free use of office space for the Will-Grundy's free clinic each month, along with volunteer time from Morris Hospital employed physicians, and free hospital services to Will Grundy Medical Clinic clients. Morris Hospital has a strong commitment to workforce development as evident by opportunities provided to students. The hospital works collaboratively with Joliet Junior College, University of St. Francis in Joliet, and Aurora University to provide clinical rotations for nursing students. The hospital also has a partnership with Grundy Area Vocational Center to provide clinical rotations for Certified Medical Assistants and observation hours for Certified Nurse Assistants. In addition, the hospital website includes a student clinical rotation request form that can be completed by any student preparing for a career in the medical field, provided the hospital has an affiliation agreement in place with the college or university. As a result, Morris Hospital also hosts students completing clinical rotations in areas such as respiratory care, laboratory technologist, radiology technologists, and pharmacy. Since the program's inception, Morris Hospital has hosted students through the Grundy Economic Development Council's summer internship program. The purpose of the GEDC internship program is workforce development with a goal of having students return to Grundy County when they complete their education. In 2023, Morris Hospital hosted 15 interns in the following departments: Facilities, Emergency Services, 2 South/2 East, Cardiac Rehab, Rehab Services, Human Resources, Cardiac Diagnostics, Information Technology, Surgery, and Minooka Healthcare Center-Ridge Road. As a Resource Hospital within Illinois Region VII Emergency Medical Services (EMS), Morris Hospital is licensed to provide initial education and continuing training for area emergency medical technicians and paramedics, working in collaboration with local EMS providers to ensure the very best pre-hospital care for local communities. Morris Hospital serves as the Resource Hospital for Braceville Fire Protection District, Braidwood Fire Department, Coal City Fire Protection District, Dwight EMS, Dwight Fire Department, Eco Lab, Grand Ridge Volunteer Fire Department, Grundy County 911 Center, Lisbon Seward Fire Protection, Lisbon-Plattville Fire Department, Lyondell Basell Fire Department, Mazon-Verona-Kinsman Rescue Squad, Mazon Fire Department, Minooka Fire Protection District, Morris Fire Protection & Ambulance District, Newark Fire Protection District, Reddick Community Fire Protection District, Seneca Ambulance, Seneca Fire, and Troy Fire Protection District, assuring that ambulances are appropriately stocked with supplies and equipment; that EMS personnel meet all of the specified licensure qualifications, and that EMS providers comply with standard policies and protocol. In 2023, 33 students graduated from Morris Hospital Paramedic Education Program.Morris Hospital works collaboratively with area schools in many ways, including providing financial support for post prom activities at Morris, Dwight and Coal City High Schools to provide safe activities for the students. In response to requests from area schools, providers from Morris Hospital went onsite to provide sports physicals at Coal City High School, Dwight High School, Lisbon Grade School, Mazon Verona Kinsman School, Minooka Jr High, Morris H.S., Newark Middle School, Seneca Grade School, Seneca H.S., and South Wilmington Grade School in 2023. The schools requested this onsite service because the convenience of the service helps the athletes better comply with the sports physical requirement in a timely banner. 416 sports physicals were performed in 2023. Estimates for explicit price concessions are based on provider contracts, payment terms for relevant prospective payment systems, and historical experience adjusted for economic conditions and other trends affecting the hospital's ability to collect outstanding amounts. For receivables from self-pay patients, which include both patients without insurance and patients with deductible and copayment balances due for which third-party coverage exists for part of the bill, the hospital records significant implicit price concessions in the period of service on the basis of its past experience, which indicates that many patients are unable or unwilling to pay the portion of their bill for which they are financially responsible.</ExplanationTxt>

<ExplanationTxt>Morris Hospital continually strives to provide excellent patient care in the most cost-effective fashion. Nonetheless, the Medicare program, in many cases, does not provide payment that covers the full cost of the care provided. Since it is the mission of the hospital to respond to community need, hospital management continually advocates for improved Medicare payment so that the cost of quality care to those patients that are not able to afford it is not compromised and is fairly subsidized by all payers. While this shortfall in Medicare payments is not classified as community benefit by the IRS, we nonetheless believe it is an important contribution made by the hospital to the health and wellbeing of the community. Our mission calls us to serve all patients with the highest possible quality and efficiency, even if we are not paid fully for doing so.Morris Hospital uses the information obtained from its most recent Medicare Cost Report to calculate the program costs; the methodology utilizes direct costs for each department plus the overhead cost assigned/allocated using simple step-down accounting methods. A series of activity drivers are assigned to each clinical area and allocated to each department as a percent of total overhead costs for each driver. Examples of drivers to allocate overhead (support departments) includes square footage, patient days, dietary meals prepared, and other unique units to allocate support costs to each clinical area.</ExplanationTxt>

Patients are given 120 days from their first statement to work with us on a payment plan or determine if they're eligible for financial assistance and before placing with a bad debt agency. Prior to placing with a collection agency, we use a presumptive scoring system to scrub those accounts for financial assistance. For any account already placed with an agency, they have 240 days from the first statement date to still apply for financial assistance. If a Financial Assistance Application (whether complete or incomplete) is submitted by a patient at any time during the application period, MHHC will suspend any ECAs underway for so long as the patient's Financial Assistance is pending.</ExplanationTxt>

<ExplanationTxt>In compliance with provisions of the patient protection and affordable care act and internal revenue service regulations for tax-exempt hospitals, Morris Hospital conducted a community health needs assessment in 2022 through Biel Consulting, Inc., and through the oversight of the Morris Hospital Vice President - Professional Services, Morris Hospital Planning Analyst, and Morris Hospital Health Educator.Primary data collection was gathered through targeted interviews from persons who represent the broad interest of the community served by the hospital. This included leaders and representatives of medically underserved, low-income and minority populations, including representatives from Coal City School District, Grundy County, LaSalle County, and Kendall County Health Departments, Channahon Park District, and area healthcare providers. Secondary data was collected from a variety of local, county, and state sources including the US census, American Community Survey, Illinois Department of Public Health, Illinois Department of Employment Security, National Cancer Institute, County Health Rankings, Illinois Youth Survey, Illinois State Police, and others.Like previous years, heart disease, cancer, stroke, and lung disease continue to surface as the leading causes of death in the communities served by Morris Hospital. Whereas the last community health needs assessment showed that over one-quarter of adults in the counties served by Morris Hospital (Grundy, Kendall, LaSalle, Livingston, and Will) were overweight and close to one-third were obese, new data shows close to one-third of adults are overweight and one-third of those 20 years of age or more are obese. These percentages equate to over 60% of the adult population being overweight or obese. In Grundy County, 29.3% of the adult population is overweight and 33% are obese. Here are some of the other key findings:- In Grundy County, 14% of adults had frequent mental distress. 18.9% of Grundy County adults rated their mental health as not good' for 1 to 7 days in the past month. Mental health ratings of not good' for 8 to 30 days in the past month were reported by 14.5% of Grundy County adults. Mental or physical health issues limited the activities of 12.7% of Grundy County adults for 1 to 7 days out of the past 30 days. Activities were limited for 11.0% of Grundy County adults for 8 to 30 days of the past 30 days.- Service area counties have a higher overall cancer incidence rate than the state rate. Among service area counties, Grundy County has the highest incidence rate for all cancers (546.8 per 100,000 persons), the highest incidence rate of female breast cancers (157.7 per 100,000 persons), leukemia (18.7 cases per 100,000 persons), colorectal cancer (51.0 per 100,000 persons), esophageal cancer (8.2 per 100,000 persons), and prostate cancer (144.3 per 100,000 persons) among service area counties. Livingston County has the highest rate of lung and bronchial cancers (86.6 per 100,000 persons).- 35.3% of adults in LaSalle County have been diagnosed with arthritis, which is higher than the state rate of 24.7%. Among adults, 15.6% in Grundy County have been diagnosed with asthma, which is higher than the state rate of 8.2%. 11% of LaSalle County adults have been diagnosed with diabetes, which is lower than the state rate of 11.3%. Grundy County (6.7%), LaSalle County (5.3%), Will County (4.1%), and Livingston County (3.8%) have higher rates of coronary heart disease than the state (3.6%). - The rate of excessive drinking, defined as binge drinking (five or more drinks per occasion for males and four or more drinks per occasion for females), or heavy drinking (daily average of more than one drink for women and more than two drinks for men) in one area county exceeds the state rate of 23% and is equal to the state rate in two counties.- Smoking continues to be a leading cause of preventable death in the United States. Smoking rates in the service area range from 13% in Kendall County to 21% in Livingston County. The healthy people 2030 objective for smoking is 5%. The assessment also includes the county health rankings which are based on adult smoking, obesity, physical inactivity, excessive drinking, sexually transmitted infections, and others. Illinois counties are ranked from 1 (most healthy) to 102 (least healthy). Of the five counties served by Morris Hospital, Kendall County is ranked 3rd healthiest in the state, Will County is ranked 5th, Grundy County is ranked 12th, LaSalle County is ranked 47th and Livingston County is ranked 70th. As a result of the review of needs and application of the above criteria, Morris Hospital will address: access to health care (including mental health); chronic diseases (including overweight and obesity); health behaviors and prevention through a commitment of community benefit programs and charitable resources. An entire copy of the 2022 community health needs assessment is available for public viewing on the hospital website, https://www.morrishospital.org/wp-content/uploads/2022/12/Morris-Hospital-2022-CHNA-Report.pdf. <ExplanationTxt>As stated in the provision of financial assistance policy, Morris Hospital & Healthcare Centers is a not-for-profit, tax-exempt entity with a charitable mission of providing emergency and medically necessary health care services to residents of the City of Morris and the Hospital's defined primary and secondary service area, regardless of their financial status and ability to pay. The purpose of the policy is to ensure that processes and procedures exist for identifying and assisting patients whose care may be provided without charge or at a discount commensurate with their financial resources and ability to pay. When possible, a financial service representative conducts an interview with the patient, the guarantor, and/or his or her legal representative, prior to the admission or rendering of service. If an interview is not possible prior to the admission or rendering of service, the interview is conducted upon admission or as soon as possible thereafter. In the case of an emergency admission, the evaluation of payment alternatives may not take place until the required medical care has been provided. At the time of the initial patient interview, the financial representative will gather routine demographic information and information regarding all existing third-party coverage to determine if the patient qualifies for medical assistance from other existing financial resources such as Medicare, Medicaid, kid care, family care, Will-Grundy Medical Clinic, or other state and federal programs. In 2018, the Hospital instituted a point of service collection process in which patients are asked to make a modest deposit toward their out-of-pocket expense at the time of service. Having the financial conversation in advance of providing service enables the registration staff to better identify patients who may qualify for financial assistance so the paperwork can get started in advance, rather than waiting until after the patient is billed. The Morris Hospital website prominently features a link to financial assistance from the home page. From there, the financial assistance policy and application is available in both English and Spanish. A graph was also added to the website that shows eligibility for financial assistance based on household income and size.Information on financial assistance is also included in the patient guide that is given to all inpatient and observation patients. In addition, patient account correspondence sent to patients includes a statement regarding the availability of the financial assistance program and a contact number.</ExplanationTxt>

<ExplanationTxt>One way Morris Hospital promotes the health of the community is by offering a free patient transportation service that provides rides to doctors and dentists' offices, physical therapy, kidney dialysis, laboratory tests, and diagnostic imaging appointments, regardless of whether the service is provided by Morris Hospital. Many of the individuals who use this service have no other way of getting to their health-related appointments. The service was started in 1998 and today includes 8 buses and 2 mini vans along with a dedicated team of volunteer drivers and driver assistants who provide an average 600 trips each month. In total, over 7,000 rides were provided to community members in 2023 free of charge, with an estimated community benefit of over $128,000 or the cost of gas, maintenance of the buses, and salaries for paid staff who coordinate the services.Morris Hospital continues to retain its status as a level II trauma center in order to best serve the health needs of the community, a community benefit of over $674,000 for the hospital which includes the cost for the on-call trauma surgeon. As a resource hospital for emergency medical services, Morris Hospital also provides ongoing education and training for area ambulance services to assure the highest quality pre-hospital care, a community benefit of over $234,000 in 2023.Additionally, Morris Hospital serves as an agent for Philips's lifeline and at home medication dispensers, two services that allow people to more safety remain living independently in their homes and to improve compliance with medication administration and decrease medication error. By going through Morris Hospital, community members are able to subscribe to these services at more affordable rate than they would be able to otherwise. In 2023, the community benefit for Lifeline and medication dispensing services was over $36,000.Another way Morris Hospital further promotes the health of the community is by offering support groups and health education classes for the community. Offerings in 2023 included basic life support and heart saver first aid classes for healthcare providers and community members, babysitter's training class for children 11 years and older, a stroke support group, and an oral head neck cancer support group. Now in its 10th year, Morris Hospital continues a strong partnership with the Morris community YMCA. This includes offering 8 sessions of free senior exercise classes during the week, which includes a combination of cardio-respiratory, muscle, endurance, and flexibility training. A Pedaling for Parkinson's class meets 3 days a week, free of charge to help improve quality of life for individuals with Parkinson's.The Hospital often uses its weekly 5-minute paid radio program to promote community health. The radio program is a live interview format with a representative from Morris Hospital and the morning radio personality and is a wonderful way to further promote the health of the community. Some of the community health topics in 2023 included cervical cancer awareness with a radiation oncologist, women's heart health with a cardiologist, stroke support with a speech pathologist, skin cancer with a radiation oncologist, men's health with a nurse practitioner, summer safety tips with an emergency physician, adult immunizations with an internal medicine physician, breast cancer awareness with a breast health nurse navigator, antibiotic awareness with a pharmacist, diabetes awareness with an endocrinologist, and winter safety types with a trauma surgeon. Morris Hospital social workers are committed to assisting patients and community members with advance directives, caregiver options, substance abuse and counseling options, and assisting with referrals to community resources. The social workers also participate in collaborative meetings that address social service needs in the community, including the interagency council, Guardian Angel, and Senior Abuse Council. In 2023, a team from Morris Hospital screened 533 students at Dwight, Ottawa, and Seneca high schools for cardiac abnormalities through the hospital's free Rhythm of Our Youth program. The screening is held on site at the high schools and offered free of charge to students with a goal of identifying students who may be at risk for sudden cardiac death. Morris Hospital further promotes the health of the community by making Morris Hospital monetary donations to other nonprofit organizations that share a similar mission of improving the health of area residents. Some examples from 2023 included $1,000 to Joliet Junior College Foundation for the advancement of healthcare careers, $1,500 to Will Grundy medical to support free medical services for qualifying residents, $1,500 to the United Way of Grundy County to support area agencies, $500 to the Aden Lamps Foundation for safe sleep packets for babies, $1,250 to Lightways, a non-profit hospice program serving our community, $1,000 to Grundy County lending closet that provides grief support and loans medical equipment to community members including wheelchairs and crutches, $500 to the Grundy County Health Department, $1,000 to We Care of Grundy County for food and utility assistance, and $3,600 to the greater Joliet area YMCA for programs that support healthy living. Amounts less than $500 were donated to other organizations that help support fire safety, shelter for homeless, mental health resources, and post prom and post-graduation events.Morris Hospital further promotes the health of the community by helping develop the future healthcare workforce. This occurs in a variety of ways, including participating in career fairs, hosting students for clinical rotations, and providing job shadow opportunities. More than 250 students were served in 2023. Once a month, Morris Hospital provides clinical space and staff for Will Grundy Medical Clinic's free clinic in Morris, a $13,000 community benefit. The only free clinic in a two-county area, the free clinic serves individuals who are unable to receive care from other sources. The Morris Hospital & Healthcare Centers' board of directors is comprised of 11 members, all who reside in the hospital's service area, none of whom are employees. Some of the board members are associated with businesses that occasionally do business with Morris Hospital & Healthcare Centers. However, board members must disclose any conflict of interest, and they are required by policy to refrain from discussing or voting on any matters that could be considered a conflict of interest.Morris Hospital maintains an open medical staff, with privileges granted to all qualified physicians.</ExplanationTxt>

<ExplanationTxt>Conflict of Interest Disclosure A. Duty To Disclose. In connection with any actual or possible conflicts or dualities of interest, an interested person must disclose in writing the existence of his or her financial interest and all material facts to the directors and committee members considering the proposed transaction or arrangement. "Disclosure" as used in this policy shall mean providing promptly and fully to the appropriate persons a written description of the facts comprising the real or apparent conflict or duality. An annual disclosure statement shall be circulated to all persons to whom this policy applies to assist them in considering such disclosures, but disclosure is appropriate whenever conflicts or dualities arise. The written disclosure notices of conflicts or dualities shall be filed with the president/chief executive officer of the corporation, or any other person designated by the foregoing from time to time to receive such notifications. B. Determining Whether A Conflict Of Interest Exists. A disclosure may result in an actual conflict, or a duality of interest exists. If it does not, after disclosure of the financial interest and all material facts and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict or duality of interest is discussed and voted upon by the disinterested directors. Such remaining and disinterested board or committee members shall decide if a conflict of interest exists. C. Procedures For Addressing The Conflict Or Duality Of Interest. 1. An interested person may make a presentation at the board or committee meeting, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. 2. The chair of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. 3. After exercising due diligence, the board or committee shall determine whether the corporation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict or duality of interest. 4. If a more advantageous transaction or arrangement is not reasonably attainable, under circumstances that would not give rise to a conflict or duality of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest and for its own benefit, and whether the transaction is fair and reasonable to the corporation, and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. If the interested person is a disqualified person under IRC 4958, the board shall follow the prescribed procedure for entitling the corporation to a rebuttable presumption of reasonableness. D. Proscribed Activity By Persons Having Conflicts Or Dualities. When a disclosure concedes or the board or committee finds that an individual director, officer, agent, or employee has a conflict or duality, such individual shall, in addition to filing the disclosure notice required hereunder, abstain from making motions, voting, executing agreements, or taking any other similar direct or indirect action on behalf of the corporation or any affiliate where the conflict of duality might pertain, but shall not be precluded from all debate on the matter. When any interested person requests in writing, or upon its own initiative, the board of directors at any time may establish further guidelines consistent with the interests of the corporation for the resolution of any real or apparent conflict provided such guidelines are consistent with the corporation's nonprofit and tax-exempt status, and compliant with applicable federal and state laws and regulations. E. Violations Of The Conflicts Or Dualities Of Interest Policy. 1. If the board or committee has reasonable cause to believe that an interested person has failed to disclose actual or possible conflicts of interest, it shall inform the person of the basis for such belief and afford him or her an opportunity to explain the alleged failure to disclose. 2. If, after hearing the response of the person and making such further investigation as may be warranted in the circumstances, the board or committee determines that the person has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. F. Records And Proceedings. The minutes of the board and of all board committees shall contain: 1. The names of all persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict or duality of interest, the nature of the financial interest, any action taken to determine whether a conflict or duality of interest was present, and the board's or committee's decision as to whether a conflict or duality of interest in fact existed. 2. The names of all persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection therewith. G. Compensation Committees. 1. A voting member of the board of directors who received compensation, directly or indirectly, from the corporation for services, is precluded from voting on matters pertaining to that member's compensation. 2. A physician who is a voting member of the board of directors and receives compensation, directly or indirectly, from the corporation, for services is precluded from discussing and voting on matters pertaining to that member's and other physicians' compensation. No physician, either individually or collectively, is prohibited from providing information to any committee regarding physician compensation. H. Annual statements. Each director, officer, member of board committees, key agent and employee shall annually sign a statement which affirms that such person: 1. Has received a copy of these conflicts and dualities of interest policy, 2. Has read and understands this policy, 3. Has agreed to comply with this policy, 4. Has disclosed the requisite information requested of such person by the corporation on the annual disclosure statement; and 5. Understands that the corporation is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. I. Periodic reviews. To ensure that the corporation operates in a consistent with its charitable purposes and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: 1. Whether compensation arrangements and benefits are reasonable and are the result of arm's-length bargaining. 2. Whether partnership and joint venture arrangements and arrangements with management service organizations conform to written policies, are properly recorded, reflect reasonable payments for goods and services, further the corporation's charitable purposes and do not result in inurement or impermissible private benefit. In conducting the periodic reviews provided for above, the corporation may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the board of its responsibility for ensuring that periodic reviews are conducted.</ExplanationTxt>
