The bequest includes no restriction or limitation on its use. The bequest was unexpected because the individual never notified MSI-US that MSI-US would be the beneficiary of decedent's testamentary estate. Although the decedent contributed a total of $1.6 million (USD) from 2016 to 2022, the decedent never engaged directly with anyone from MSI-US on the phone or in person. Rather, the decedent at one point requested that they not be contacted in response to a thank-you e-mail sent by MSI-US . The decedent was not an officer, director, employee, or contractor of MSI-US. Furthermore, to MSI-US's best knowledge, the decedent was not related to any current or former MSI-US officers, directors, employees, or contractors. Thus, MSI-US had no reason to expect that it would be the recipient of the remainder of decedent's substantial testamentary estate. The decedent's decision (when living) to make a testamentary bequest to MSI-US, without MSI-US's knowledge, demonstrates that the bequest was made because of MSI-US's publicly supported nature. However, because the large size and the contribution source, including the bequest in public support adversely affects MSI-US's public support percentage in 2023 and would continue to adversely affect MSI-US's public support percentage for the next five years. Accordingly, MSI-US has excluded the bequest from public support as an unusual grant in accordance with Treas. Reg. sec. 1.170A-9(f)(6)(ii). Part II, Section C,line 17a With a public support percentage of 29.69 percent and taking into account the facts and circumstances discussed in the following paragraphs, MSI-US qualifies as publicly supported in 2023 under the 10 percent "facts and circumstances" test. First, MSI-US is organized and operated to attract new and additional public support on a continuous basis. MSI-US maintains a continuous and bona fide program for the solicitation of funds from the public. Specifically, MSI-US engages in dynamic fundraising activities to attract support from individuals, family foundations and estate gifts, in addition to receiving a few larger contributions from professional foundations. MSI-US deploys digital marketing, email, and direct mail to build a base of supporters, and currently MSI-US has an active file of 5,000+ constituents who engage with MSI-US. Although MSI-US's public support percentage decreased in 2023, MSI-US's fundraising program, overall, has been successful. MSI-US expects to exceed the 33.33 threshold in the next several years. Second, MSI-US has a governing body that represents the broad interests of the public. MSI-US's board of directors is composed of persons who have interest or expertise in working with governments, communities, and local leaders to build and manage programs to deliver safe, modern reproductive healthcare services to women no matter where they are. No board members are related by blood or marriage, and no board members during the 2023 fiscal year were are substantial contributors to MSI-US. Finally, MSI-US's activities demonstrate that MSI-US is "publicly supported." MSI-US is a supporting organization of MSI Reproductive Choices, which provides reproductive healthcare services internationally in 36 countries . MSI-US furthers its charitable and educational mission through MSI-US's grantmaking activities that enable MSI Reproductive Choices to bring contraception, safe abortion, post-abortion care, and other reproductive health care services to everyone who wants them. The services provided by the clinics MSI-US supports provide services directly to and for the benefit of the public on a continuing basis. Through this activity, MSI-US furthers the charitable purpose of promoting health.
