Part VI, Line 7a Members elect the Board of Directors. Part VI, Line 7b Membership must approve changes to the Cooperative's Bylaws. Part VI, Line 12c Conflict of interest issues are discussed periodically at monthly board meetings. All directors officers and employees of the Cooperative are expected to sign a conflict of interest policy and report any conflict of interest issues to the ethics officer per the Cooperative's policy. Part VI, Line 15 On a yearly basis the Board of Directors review and set the CEO and key management salaries. As a part of this process they compare salaries for such employees in other Illinois Electric Cooperatives the surrounding region and the nation. The motions for the acceptance of the salaries are mentioned in the executive board meeting minutes.
