These efforts significantly expanded the foundations role in directly serving schools and supporting academic and social-emotional growth across the county. Part IX, Line 11g 11g - Fees for services (nonemployees) include contracted services for curriculum facilitation, project implementation, and professional development. Part VI, Line 11b A draft of the Form 990 is reviewed by the Board of Directors prior to filing. Board members are given the opportunity to review and comment on the form before submission. Part VI, Line 12c Board members complete an annual disclosure form and any potential conflicts are discussed and recorded in meeting minutes. The organization president oversees annual compliance. Part VI, Line 19 Governing documents, conflict of interest policy, and financial statements are made available to the public upon request via email or mail. Requests may be directed to the address listed in Part VI, line 20. Part VI, Line 1a There are no material differences in voting rights among members of the governing body. All voting members have equal authority, and the board did not delegate broad authority to any executive or other committee during the tax year. Part VI, Line 4 The organization updated its bylaws during the year to include a formal conflict-of-interest policy and align with best practices learned at a statewide education foundation conference. Part XI, Line 9 Line 9 Other changes in net assets: There were no other changes in net assets during the year beyond the reported revenue less expenses. The increase in net assets from $4,476 to $6,607 reflects a modest surplus resulting from grant-funded program efficiencies and underspending in administrative categories. Part XII, Line 1 The organization uses the cash basis of accounting. It did not undergo an independent audit, review, or compilation during the tax year and was not subject to the Single Audit Act or Uniform Guidance audit requirements, as it did not expend $750,000 or more in federal funds. Part XII, Line 2c The organization did not engage an independent accountant for audit, compilation, or review services during the tax year. No audit oversight committee is in place, as the organization was not subject to any such requirements. Financial records are maintained internally using the cash method of accounting. We respectfully request abatement of any penalties related to the late filing of our Form 990-EZ for the tax year ending June 30, 2024. The Holmes County Education Foundation is a small, volunteer-led nonprofit organization with no paid employees. Our former president, who maintained sole access to financial records and was responsible for managing all federal filings, left the organization unexpectedly on June 30, 2024. This sudden transition left the board without access to key documentation and no immediate knowledge of the outstanding IRS filing requirement. Because of the unexpected change and our limited internal infrastructure, the Form 990-EZ was not filed by the deadline. As soon as the new leadership team was able to obtain the necessary records and assess our obligations, we began the process of completing the required return. This delay was unintentional and not due to willful neglect. We have since taken corrective actions to prevent similar issues in the future, including designating a board officer to monitor compliance deadlines and consulting with a professional to support accurate and timely reporting. We respectfully request that any penalties for the late filing be waived due to reasonable cause and our good-faith efforts to meet IRS requirements. Thank you for your time and consideration.
