All members of the Executive Committee must be current members of the Board of Directors, and the Executive Committee must consist of at least three members. The Board Chair, Past Board Chair, Vice Board Chair, and the Officers that are Directors are members of the Executive Committee. Chairs of all committees will be members of the Executive Committee. Form 990, Part VI, Section B, line 12c Board members are required to annually sign a conflict of interest policy and declare any conflicts at that time. In addition, Board members should declare any conflicts as they arise throughout the year. Top officials and key employees must sign the conflict of interest form as well. Form 990, Part VI, Section B, line 15 The CEO receives annual salary adjustments based on compensation studies prepared and updated by a compensation consultant every 3-5 years. The CEO's salary changes are approved by the Executive Committee. Good Reason Houston also utilizes this compensation consultant every 3-5 years to prepare and update a compensation study to determine the compensation of other officers and key employees. All annual salary adjustments are informed by the compensation study.
