Boone Memorial Health (BMH) conducted its 2025 Community Health Needs Assessment (CHNA) covering its service area of Boone, Logan, Lincoln, and Kanawha counties in West Virginia. The CHNA report was adopted by the BMH Board of Directors in June 2025. The corresponding 2025-28 Community Health Improvement Plan (CHIP) was adopted by the Board in September 2025 and is available to the public at bmh.org. Based on CHNA findings, BMH identified three priority areas for the 2025-28 reporting cycle: 1. Behavioral Health and Substance Use Disorder. BMH operates Brighter Futures, a comprehensive substance use disorder program offering prevention, medication-assisted treatment (MAT), case management, therapy, peer recovery coaching, and career readiness services. BMH reduced barriers to treatment through MAT induction in the emergency department, mobile MAT services, and the Reverse the Cycle Comprehensive ED Substance Use Response Program. Peer recovery coaches are embedded in the ED, and BMH supports community crisis intervention services including HELP4WV and the Quick Response Team. BMH also invests in youth development and resilience programming and community-based mental health and stigma-reduction initiatives. 2. Chronic Disease Prevention and Management. BMH extended access to care through four rural health clinics, a specialty clinic, telehealth, mobile health services, and a Meds to Beds point-of-care medication education program. BMH implemented universal screening for social drivers of health (SDOH) and deployed care managers to connect patients with wraparound supports including transportation, medications, and nutrition assistance. Community benefit programs include diabetes education, the BMH Healthy Lifestyle Program, chronic disease self-management programming, and mobile community health screening events. BMH removes financial barriers to physical fitness for chronically ill patients by providing no-cost gym access to individuals enrolled in the Chronic Care Management program. This program supports evidence-based lifestyle interventions for conditions including diabetes, hypertension, heart disease, and obesity - conditions that are disproportionately prevalent in BMH's rural Appalachian service area. BMH also serves as a catalyst for grant funding and regional partnerships to bring healthcare investment to underserved communities. 3. Community Building. BMH launched the Market on Main, a farmers market and greenhouse initiative designed to address food insecurity, support local growers, and promote agritourism and nutrition education. The FARMacy program provides fresh, locally grown produce to patients experiencing food insecurity at no cost. The BMH Foundation for Community Health advances community and economic development by addressing social drivers of health through grantmaking, programming, and partnerships with local organizations. A copy of the final Form 990 will be provided to the Board of Directors prior to filing with the IRS. Form 990, Part VI, Line 12c Conflict of interest policy Boone Memorial Hospital, Inc. ("BMH") maintains a written Conflict of Interest Policy ("Policy") that applies to all members of the Board of Directors, officers, and key employees of the organization, including the President and Chief Executive Officer, Chief Financial Officer, Chief Operating Officer, and Chief External Affairs Officer. Annual Disclosure Process: At the beginning of each fiscal year, all covered persons are required to complete and sign an Annual Conflict of Interest Disclosure Statement. These statements are submitted to the Board Chair and retained in the organization's records. Covered persons are required to update their disclosures promptly if any new interest or relationship arises during the year that could constitute a conflict. Recusal Procedure: Any director, officer, or key employee who has or may have a conflict of interest with respect to a matter under consideration must: (1) fully disclose the nature of the interest to the Board or committee; (2) leave the room during deliberation and the vote on that matter; and (3) refrain from attempting to influence the decision. The recusal and the basis for it are recorded in the minutes of the meeting. Enforcement and Oversight: The Board Chair, in consultation with Chief Executive Officer and legal counsel as needed, is responsible for reviewing annual disclosures, determining whether a disclosed interest constitutes a conflict, and ensuring that the recusal procedures are followed. Failure to comply with the Policy may result in disciplinary action up to and including removal from the Board or termination of employment. Documentation: All annual disclosure statements, meeting-level disclosures, and recusal records are maintained in the organization's governance files and are available for review by the Board of Directors and the organization's independent auditor, Forvis Mazars LLP. Vendor and Contractor Relationships: The Policy extends to relationships with independent contractors, vendors, and service providers. Any director, officer, or key employee with a financial interest in or relationship with a vendor or contractor doing business with BMH is required to disclose that interest and recuse themselves from any related procurement, contract approval, or payment authorization decisions. Form 990, Part VI, Line 15a Process to establish compensation of top management official The compensation of the Chief Executive Officer is reviewed and approved annually by the Compensation Committee of the Board of Directors, which is composed entirely of independent board members with no conflict of interest with respect to the CEO's compensation. The CEO does not participate in deliberations or voting on their own compensation. In establishing CEO compensation, the Compensation Committee reviews and considers comparability data, including IRS Form 990 filings, financial statement audits and West Virginia Uniform Financial Reports for hospitals and health systems operating throughout West Virginia. Additional reference data may include compensation surveys published by recognized healthcare industry sources. The Committee also evaluates organizational and individual performance against established goals. The Chief Executive Officer utilizes a similar process to evaluate compensation for other executive officers and key employees.
